These Terms and Conditions (“Agreement”) govern your use of the elys.cloud website (“Website”), the ELYS mobile application (“Mobile Application”), and all related products and services (collectively, the “Services”).

This Agreement is a legally binding contract between you (“User,” “you,” or “your”) and ELYS (“ELYS,” “we,” “us,” or “our”). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, or if you do not agree to these Terms, you may not use the Services.

You must be at least 16 years old to use the Services. By creating an account, you represent that you meet this requirement.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access or security breach.

We reserve the right to suspend, disable, or delete accounts that violate this Agreement or that may harm our reputation, users, or platform integrity.

By creating an account, you consent to receive SMS messages from ELYS for purposes including:

•            Account verification

•            Hot Button alerts

•            Safety notifications

•            System updates or service‑related communication

Message frequency varies.

Message and data rates may apply.

You may opt out at any time by replying STOP.

For help, reply HELP.

We do not sell or share your phone number with third‑party marketers.

ELYS uses GPS and device‑based location data to:

•            Trigger safety alerts

•            Share your location with designated contacts during a Hot Button activation

•            Improve accuracy of safety features

You may disable location access in your device settings, but doing so may limit functionality.

We do not sell or use your location data for advertising.

The ELYS Hot Button allows users to quickly notify selected contacts when they feel unsafe. When activated, the Hot Button may:

•            Send SMS alerts to your chosen contacts

•            Share your real‑time or last‑known location

•            Provide context about the safety event

You are responsible for ensuring your emergency contacts are accurate and up to date.

ELYS is not a substitute for calling 911 or emergency services.

If you are in immediate danger, contact local authorities.

All content, trademarks, logos, software, and materials within the Services are owned by ELYS or its licensors. Nothing in this Agreement grants you ownership or license rights except for personal, non‑commercial use of the Services.

The Services may contain links to third‑party websites or applications. ELYS does not endorse, control, or assume responsibility for any third‑party content, products, or services. Accessing third‑party resources is at your own risk.

To the fullest extent permitted by law, ELYS and its affiliates, officers, employees, agents, suppliers, and licensors shall not be liable for:

•            Indirect, incidental, special, punitive, or consequential damages

•            Loss of profits, revenue, data, goodwill, or business opportunities

Our total liability for any claim arising from the Services shall not exceed one dollar (USD $1) or the amount you paid to ELYS in the 30 days preceding the event giving rise to the claim.

These limitations apply even if a remedy fails its essential purpose.

ELYS does not provide emergency response, dispatch, or professional safety services.

The Hot Button is a communication tool only.

If you are experiencing an emergency, call 911 or your local emergency number.

This Agreement is governed by the laws of the State of California, United States. Any disputes shall be resolved exclusively in the state or federal courts located in California. You waive any right to a jury trial.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

We may update or modify these Terms at any time. When changes are made, we will update the “Last Updated” date and may provide notice through the Services or via email.

Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
